3.1 Account Creation

To use the Service, you must create an account by providing accurate, current, and complete information. You must verify your email address to activate your account. You are responsible for maintaining the confidentiality of your account credentials and for all activities under your account.

3.2 Age Requirements

You must be at least 13 years old to use the Service. Users between 13 and 18 years old must have parental or legal guardian consent. By creating an account, you represent that you meet these age requirements.

3.3 Account Types

We offer individual consumer accounts and developer/team plans. For team accounts, administrators can add other administrators or members with corresponding access levels. Team administrators have additional responsibilities for managing team members, controlling access permissions, and ensuring compliance with these Terms.

3.4 Account Restrictions

You may not share your account credentials with others. Each user must have their own account. You must notify us immediately of any unauthorized account use.

4.1 Subscription Plans

The Service is offered through free and paid subscription plans. Pricing tiers are based on storage capacity, memory usage, API calls, and team size.

4.2 Payment Methods

We accept credit and debit cards through our payment processors. By providing payment information, you authorize us to charge your payment method for all fees incurred.

4.3 Billing

Subscriptions automatically renew unless canceled. You will be charged at the beginning of each billing cycle.

4.4 Refunds and Cancellations

You may cancel your subscription at any time. Cancellation takes effect at the end of the current billing period. Refund requests are evaluated on a case-by-case basis.

5.1 Your Content

You retain all ownership rights to content you upload, create, or store using the Service ("User Content"), including memories, context data, and files stored in Memory Drive. By using the Service, you grant Aristra Labs a worldwide, non-exclusive, royalty-free license to use, store, process, reproduce, and display your User Content solely as necessary to provide the Service to you.

5.2 Aristra Labs Property

The Service, including all software, designs, logos, trademarks, AI models, and other content provided by Aristra Labs, remains our exclusive property. You may not copy, modify, distribute, sell, or lease any part of our Service or intellectual property without our express written permission.

5.3 Feedback

Any suggestions, feedback, or ideas you provide about the Service become the property of Aristra Labs and may be used without compensation to you.

6.1 Content Responsibility

You are solely responsible for your User Content, including any memories, context, or files you store through the Service. You represent that you have all necessary rights to upload and use your User Content through the Service.

6.2 Prohibited Content

You may not upload, share, or create content that:

• Is illegal or promotes illegal activities
• Infringes on intellectual property rights
• Contains malware or harmful code
• Violates the privacy rights of others
• Is fraudulent, deceptive, or misleading
• Harasses, abuses, or threatens others

6.3 Content Sharing

You may share your content through team collaboration features or shared memory spaces. You are responsible for managing access permissions and understanding that shared content may be accessed by others.

6.4 Content Monitoring

We do not actively monitor User Content but reserve the right to remove content that violates these Terms or applicable law.

6.5 Data Export

You may export your memories and stored content at any time through the Service's export features. For assistance with data export, you can contact our support team at contact@aristralabs.com.

7.1 Privacy Policy

Your use of the Service is subject to our Privacy Policy, which is incorporated by reference into these Terms. Please review our Privacy Policy to understand our data practices.

7.2 Data Processing

We process your data in accordance with applicable privacy laws, including the General Data Protection Regulation (GDPR) for European Union users and the California Consumer Privacy Act (CCPA) for California residents.

7.3 Third-Party Processing

You acknowledge that we use third-party AI services to provide memory and context features. Your content may be processed by these services in accordance with their respective terms and privacy policies.

7.4 Data Security

We implement reasonable security measures to protect your data. However, no method of electronic storage is 100% secure, and we cannot guarantee absolute security.

9.2 No Professional Advice

Content generated or retrieved through AI features is not a substitute for professional advice. We are not responsible for decisions made based on AI-generated content or memories.

9.3 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ARISTRA LABS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR USE, ARISING FROM YOUR USE OF THE SERVICE. OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE MONTHS PRECEDING THE CLAIM.

11.1 Termination by You

You may terminate your account at any time through your account settings or by contacting support.

11.2 Termination by Aristra Labs

We may suspend or terminate your account for:

• Violation of these Terms
• Non-payment of fees
• Suspected fraudulent or illegal activity
• Extended period of inactivity
• As required by law

11.3 Effect of Termination

Upon termination, your right to use the Service ceases immediately. We may delete your data after a reasonable period following termination, subject to our data retention policies and legal obligations.

12.1 Arbitration Agreement

Any dispute arising from these Terms or your use of the Service shall be resolved through binding arbitration conducted by the American Arbitration Association under its Commercial Arbitration Rules. Arbitration shall occur in Delaware.

12.2 Class Action Waiver

You waive any right to participate in class actions, class arbitrations, or representative actions. Disputes must be brought individually.

12.3 Informal Resolution

Before initiating arbitration, parties must attempt to resolve disputes informally by contacting contact@aristralabs.com.

15.1 API Access

When using our API services, you must comply with our API documentation and rate limits. API keys are confidential and must not be shared.

15.2 Developer Responsibilities

Developers using our API are responsible for ensuring their applications comply with these Terms and all applicable laws, including data protection regulations.

15.3 Browser Extensions

When using our browser extensions, you must comply with applicable browser extension policies. Extensions may require specific permissions to function properly.
